Welcome to KeptRite. These Terms and Conditions (“Terms”) govern your access to and use of the KeptRite website (keptrite.com), web application (app.keptrite.com), and mobile applications (collectively, the “Service”), operated by ireckon Pty Ltd trading as KeptRite (ABN to be inserted) (“we”, “us”, “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About the Service
KeptRite is a venue maintenance and condition management platform designed for customer-facing industries. The Service allows authorised users to report, track, and manage maintenance issues, damage, and the visible condition of venues through web and mobile applications.
2. Accounts and Access
To use the Service beyond the public website, you must be invited by an organisation that holds an active KeptRite subscription. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate access to any account at our discretion if we reasonably believe these Terms have been breached.
3. Acceptable Use
You agree not to use the Service to:
- Upload content that is unlawful, defamatory, obscene, or infringes the rights of any third party.
- Attempt to gain unauthorised access to any part of the Service, other accounts, or systems connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service for any purpose other than its intended use as a venue maintenance and condition management tool.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
4. Intellectual Property
All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, icons, and the KeptRite Index scoring methodology — are owned by ireckon Pty Ltd and are protected by Australian and international intellectual property laws.
You may not copy, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.
5. User Content
You retain ownership of any content you upload to the Service, including photographs, descriptions, and reports (“User Content”). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, process, and display that content solely for the purpose of providing and improving the Service.
You are responsible for ensuring you have the right to upload any content and that it does not infringe the rights of any third party.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
We take reasonable steps to protect data stored within the Service, but we cannot guarantee absolute security. You acknowledge that no method of electronic transmission or storage is completely secure.
7. Service Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify active subscribers of any material changes.
8. Subscriptions and Payment
Access to the Service is provided on a subscription basis as agreed between us and your organisation. Subscription terms, pricing, and payment conditions are set out in the applicable subscription agreement.
We reserve the right to change pricing with reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
9. Third-Party Services
The Service may integrate with or contain links to third-party services, platforms, or tools. We are not responsible for the content, privacy practices, or availability of any third-party service. Your use of third-party services is subject to their own terms and conditions.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
- We do not warrant that the Service will be error-free, secure, or meet your specific requirements.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
- Our total liability for any claim arising from or related to the Service is limited to the amount paid by your organisation for the Service in the twelve months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under the Australian Consumer Law.
11. Indemnification
You agree to indemnify and hold harmless ireckon Pty Ltd, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your breach of these Terms.
12. Termination
We may suspend or terminate your access to the Service at any time for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.
Provisions that by their nature should survive termination will survive, including intellectual property, limitation of liability, and indemnification clauses.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
For material changes, we will make reasonable efforts to notify users through the Service or via email.
14. Governing Law
These Terms are governed by the laws of Australia. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Australia.
